These Terms and Conditions govern your use of the ACEINTEK website and your engagement with our software development, consulting, cloud, automation, design, and related technology services. By using this website or engaging our services, you agree to these terms.
1. Services and Project Engagements
Project scope, deliverables, timelines, fees, payment schedules, and support terms will be defined in a proposal, statement of work, quotation, or service agreement accepted by both parties. If a project-specific agreement conflicts with these website terms, the project-specific agreement will prevail.
2. Proposals, Pricing, and Payments
- Quotes are based on the information and scope available when issued.
- Additional requirements or revisions may require a revised timeline and fee.
- Invoices must be paid according to the agreed payment schedule.
- Work or delivery may be paused when an agreed payment is overdue.
3. Client Responsibilities
Clients must provide timely access, content, approvals, credentials, and accurate information required to complete the work. Delays in these inputs may affect delivery dates. Clients are responsible for ensuring that materials supplied to ACEINTEK may be legally used.
4. Intellectual Property
Upon full payment, ownership or licensing of final project deliverables will follow the applicable project agreement. ACEINTEK retains ownership of its pre-existing tools, frameworks, reusable components, know-how, and internal methods. Third-party software, fonts, libraries, and media remain subject to their own licenses.
5. Third-Party Services
Projects may use hosting providers, payment gateways, APIs, cloud platforms, app stores, or other third-party services. Their pricing, availability, policies, and performance are controlled by those providers. Unless agreed otherwise, clients are responsible for third-party accounts and charges.
6. Confidentiality
Each party will take reasonable care to protect confidential business, technical, and commercial information shared for a project. This does not apply to information that is public, already lawfully known, independently developed, or required to be disclosed by law.
7. Warranty, Support, and Maintenance
Warranty periods, bug-fix coverage, maintenance, and ongoing support are governed by the applicable project agreement. Unless expressly stated, new features, changes in third-party systems, content updates, and issues caused by unauthorized modifications are outside warranty.
8. Acceptable Website Use
You may not misuse this website, attempt unauthorized access, introduce malicious code, interfere with availability, copy protected content for commercial reuse, or use the website in violation of law.
9. Limitation of Liability
To the extent permitted by law, ACEINTEK will not be liable for indirect, incidental, special, or consequential loss, including loss of profits, data, revenue, or business opportunity. Any direct liability relating to paid services will be limited as set out in the applicable project agreement.
10. Termination
Either party may terminate a project as permitted by its agreement. The client remains responsible for approved work completed and committed costs incurred before termination. Provisions concerning payment, confidentiality, intellectual property, and liability survive termination where applicable.
11. Privacy
Our collection and use of personal information is described in our Privacy Policy.
12. Governing Law
These terms are governed by the laws of India. Subject to any agreed dispute-resolution process, courts with jurisdiction in Bangalore, Karnataka will have jurisdiction over disputes arising from these terms.
13. Changes to These Terms
We may update these terms when our services, website, or legal requirements change. The updated date shown above identifies the latest version.
